Terms and Conditions

These Terms and Conditions govern your use of the Field Growth AI website and, together with any signed proposal or statement of work, the consulting services we provide. By using our website or engaging our services, you agree to these terms. If you are accepting on behalf of a company, you confirm that you have authority to bind it.

We provide AI strategy, workflow automation, custom LLM and agent development, data and analytics, AI product integration, and training. The scope, deliverables, timeline and fees for each engagement are set out in a written proposal or statement of work (“SOW”). If an SOW conflicts with these terms, the SOW takes priority for that engagement.

To help us deliver great results, you agree to:

• Provide timely access to the people, systems and data reasonably needed for the engagement.
• Make sure you have the rights and permissions to share any data with us.
• Review deliverables and give feedback within agreed timeframes.
• Remain responsible for business decisions made using our recommendations or AI outputs.

Fees are set out in each SOW. Unless stated otherwise, invoices are payable within 30 days of issue. Fees exclude applicable taxes and pre-approved expenses, which are charged separately. We may pause work if undisputed invoices remain unpaid more than 15 days after their due date, after giving you written notice.

On full payment, you own the deliverables created specifically for you under an SOW. We keep ownership of our pre-existing tools, frameworks, know-how and general methods, and grant you a perpetual, non-exclusive licence to use any of them that are built into your deliverables.

Third-party models, libraries and services remain subject to their own licences, which we will identify where relevant.

Each party will keep the other’s confidential information secret, use it only for the engagement, and protect it with at least reasonable care. This obligation continues for five years after the engagement ends, and indefinitely for trade secrets and personal data.

Where we process personal data on your behalf, we will do so under a data processing agreement. Our handling of personal information is described in our Privacy Policy.

AI systems are probabilistic and can produce inaccurate or unexpected results. We design solutions with evaluation, monitoring and human oversight in mind, but we do not guarantee that any AI output will be error free. You are responsible for appropriate review of outputs before relying on them for important decisions.

We will perform our services with reasonable skill and care, in line with good industry practice. Apart from that, and to the extent permitted by law, our services and website are provided “as is” without other warranties, express or implied. Results described in case studies are examples and are not a guarantee of future outcomes.

To the extent permitted by law, neither party is liable for indirect or consequential losses, or for lost profits, revenue or data. Each party’s total liability arising from an engagement is limited to the fees paid or payable under the relevant SOW in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.

Either party may end an SOW with 30 days’ written notice, or immediately if the other party materially breaches these terms and does not fix the breach within 15 days of notice. You will pay for work completed up to the termination date. Sections that by their nature should survive termination will do so.

You may use our website for lawful purposes only. You must not attempt to disrupt it, gain unauthorised access to it, or copy its content for commercial use without our permission. Links to third-party websites are provided for convenience, and we are not responsible for their content.

These terms are governed by the laws of the jurisdiction stated in your SOW, or, if none is stated, the jurisdiction where Field Growth AI is registered. The courts of that jurisdiction have exclusive jurisdiction over any dispute.

We may update these terms from time to time. Changes apply from the “Last updated” date above and do not affect SOWs already signed, unless both parties agree in writing.
